These Terms of Service govern your access to and use of Proforma Studio (the "Service"), operated by Proforma Studio Inc. ("we", "us"). By creating an account or using the Service you agree to these terms. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation.
The Service provides software for analysing, transacting, operating, and tracking real estate. It produces financial projections, generates documents from templates, and organises property, tenancy, and warehouse records.
We are not a law firm, real estate broker, mortgage broker, investment adviser, tax adviser, accountant, appraiser, or consumer reporting agency, and we do not provide legal, financial, investment, tax, valuation, or accounting advice. Outputs of the Service are tools to support your own judgement and the advice of your own qualified professionals.
Projections, returns, valuations, tax estimates, transaction costs, and benchmarks generated by the Service are estimates produced from assumptions you supply and from platform defaults. They are forward-looking, will differ from actual results, and must not be relied upon as a guarantee, appraisal, or professional opinion. Tax and transaction-cost rules vary by jurisdiction and change over time; verify every figure with a qualified professional before acting on it or presenting it to a third party such as a lender or investor.
Documents generated by the Service — including tenancy and lease agreements, notices, and compliance checklists — are produced from general templates. They are not legal advice and may not comply with the law applicable to your property, which differs by country, state, province, and municipality. You are solely responsible for having any generated document reviewed by a qualified lawyer in the relevant jurisdiction before it is signed, issued, or relied upon.
The Service offers electronic signature capture. Requirements for valid electronic execution differ by jurisdiction and document type, and certain documents (for example those requiring notarisation, witnessing, or government registration) cannot be validly executed electronically. You are responsible for confirming that electronic execution is valid for your document and jurisdiction.
Where screening is enabled, reports are supplied by a third-party provider. Use of screening data is regulated — in the United States by the Fair Credit Reporting Act, including permissible-purpose, disclosure, and adverse-action obligations, and elsewhere by comparable consumer-credit and data-protection rules. You are responsible for obtaining valid consent, using reports only for a permitted purpose, issuing any required adverse-action notice, and complying with fair-housing and anti-discrimination law. We are not a consumer reporting agency.
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorised use. We may suspend accounts where we reasonably believe security has been compromised.
You retain ownership of the data you upload or create in the Service ("Your Content"). You grant us a limited licence to host, process, transmit, and display Your Content solely to provide and support the Service. You are responsible for having the right to provide Your Content, including any personal data relating to tenants, applicants, or other third parties, and for providing any notices and obtaining any consents required by applicable data-protection law.
You can export your data at any time while your subscription is active. Our handling of personal data is described in our Privacy Policy.
You must not use the Service to:
Paid plans are billed in advance on the cycle you select, in the currency shown at checkout. Plan limits and included modules are those described on the pricing page at the time of purchase. You may cancel at any time; cancellation takes effect at the end of the current billing period and you retain access until then.
Except where a refund is required by applicable consumer law, fees already paid are non-refundable. Nothing in these terms limits any statutory cancellation or refund right you may have as a consumer in your jurisdiction.
We may change prices with at least 30 days' notice before the change applies to your next billing period. Payment processing is performed by a third-party provider subject to its own terms.
The Service integrates third-party providers for payments, email, messaging, mapping, screening, and storage. We are not responsible for third-party services, and your use of them may be subject to their terms. Availability of an integration may change.
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and will give reasonable notice of material adverse changes where practicable. Maintenance may occasionally require downtime.
The Service, including its software, design, and trademarks, is owned by Proforma Studio Inc. and its licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used without obligation to you.
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve months before the event giving rise to the claim.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or under mandatory consumer-protection law.
You will indemnify us against third-party claims arising from your breach of these terms, your unlawful use of the Service, your use of documents or projections generated by the Service, or your handling of personal data of tenants, applicants, or others.
You may close your account at any time. We may suspend or terminate access for material breach of these terms, non-payment, or where required by law, with notice where practicable. On termination you may export Your Content for a reasonable period, after which we may delete it in accordance with our retention practices.
We may update these terms. For material changes we will give reasonable notice — by email or in-product — before they take effect. Continued use after the effective date constitutes acceptance. If you do not accept the change, you may cancel before it takes effect.
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the courts of Delaware, United States have jurisdiction. This does not deprive you of the protection of mandatory consumer-protection law of your country of residence, or of the right to bring proceedings in your local courts where that right cannot be excluded.

If any provision is held unenforceable, the remainder continues in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These terms, together with the Privacy Policy and any order form, are the entire agreement between us regarding the Service.
